Introduction

These Terms form a legally binding agreement between you and Astage AI. By creating an account, uploading content, or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any other policies we may publish from time to time.

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, notify you. Your continued use of the Service after any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.

About the Service

Astage AI is an AI-powered virtual staging and interior design platform that allows you to:

• Upload photos of your rooms, spaces, or design portfolios;
• Generate AI designs — photorealistic redesigned spaces generated in approximately 27 seconds using AI models;
• Choose from 12+ curated interior design styles (Modern, Scandinavian, Japandi, Boho, and more);
• Extract and apply a personal style profile from your past work (for designers);
• Shop every piece — each item in a generated design links to a real product available from retailers such as Amazon, Wayfair, IKEA, and 100+ other partners.

Access to certain features depends on your subscription plan, as described in Section 5 below.

Eligibility and Account Registration

3.1 Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. By using the Service, you represent and warrant that you meet this requirement.

3.2 Account Registration

To use certain features of the Service, you may be required to create an account. When you create an account, you agree to:

• Provide accurate, current, and complete information;
• Keep your login credentials confidential and secure;
• Be responsible for all activity that occurs under your account;
• Notify us immediately at support@astage.ai of any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are fraudulent or harmful.

Free Tier and Credits

The Service offers a free tier and paid subscription plans. The free tier provides a limited number of designs (“credits”) per month, at our discretion.

• Credits are non-transferable and have no cash value.
• Unused credits generally do not roll over to the next billing period.
• We may change, limit, or discontinue the free tier or the number of credits offered at any time, with or without notice.

Subscription Plans and Payments

5.1 Plans

We currently offer the following subscription plans (prices in USD):

We may change our plans, pricing, or features at any time. Where required by law, we will provide reasonable notice of any price changes.

5.2 Payment

Paid plans are billed on a recurring basis (monthly) through our third-party payment processors. By subscribing, you authorize us to charge your chosen payment method for the applicable fees.

• Fees are generally non-refundable except as described in Section 6.
• Prices are exclusive of applicable taxes unless stated otherwise. You are responsible for any taxes imposed on your subscription.
• We are not responsible for any unauthorized charges or security breaches involving your payment method, which are handled by our payment processors.

5.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You can cancel your subscription at any time through your account settings or by contacting us at support@astage.ai.

Cancellation and Refunds

• Cancellation. You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period, and you will retain access to paid features until that period ends.
• Refunds. We generally do not provide refunds for fees already paid for a billing period that has begun, except where required by applicable consumer law or where we determine, in our sole discretion, that a refund is appropriate (for example, due to a technical issue that prevented you from using the Service).
• Statutory Rights. Nothing in these Terms limits any statutory rights you may have under the consumer protection laws of your jurisdiction.

User Content and Uploads

7.1 Ownership

You retain ownership of the photos, images, renderings, sketches, and other content you upload to the Service (“User Content”).

7.2 License to Us

By uploading User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, process, store, reproduce, and display your User Content solely for the purpose of providing, operating, and improving the Service (for example, to generate AI designs and create style profiles).

7.3 Your Warranties

You represent and warrant that:

• You own or have the necessary rights and permissions to upload your User Content;
• Your User Content does not infringe the rights of any third party;
• You have obtained any necessary consent from people identifiable in your images;
• Your User Content does not contain illegal, infringing, defamatory, or otherwise objectionable material.

We may remove any User Content that we reasonably believe violates these Terms or applicable law.

AI-Generated Content

The Service uses AI models to generate designs, renders, and style profiles (“AI Content”). You acknowledge and agree that:

• AI Content is for informational and planning purposes only and does not constitute professional interior design, architectural, or other professional advice.
• AI Content may contain errors or inaccuracies. Generated designs, furniture dimensions, colors, and product matches are approximations and may not be accurate or suitable for your actual space.
• AI Content may not be unique and may be similar to content generated for other users.
• You are responsible for evaluating AI Content with your own judgment and human review before relying on it.
• We are not liable for any decisions you make based on AI Content.

You may use AI Content for your personal or commercial purposes, subject to these Terms. We may use anonymized and aggregated data to improve our AI models and the Service.

Shoppable Products and Third-Party Retailers

The Service may display products from third-party retailers (such as Amazon, Wayfair, IKEA, and other partners) and provide links to purchase those products.

• We are not the seller of these products. Product information, availability, and prices are provided by the retailers and may change at any time.
• Purchases are made directly with the retailers, and are governed by their own terms and privacy policies.
• We are not responsible for the quality, delivery, returns, or after-sales service of products purchased from third-party retailers.

Intellectual Property

10.1 Our IP

The Service, including its design, software, code, AI models, branding, logos, and all related materials, is owned by Astage AI or its licensors and is protected by intellectual property laws. You may not copy, modify, reverse-engineer, distribute, or commercially exploit any part of the Service without our prior written consent.

10.2 Trademarks

The Astage AI name and logo are trademarks of Astage AI. You may not use them without our prior written permission.

10.3 Feedback

If you provide us with feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use such feedback for any purpose.

Acceptable Use

You agree not to use the Service to:

• Engage in any unlawful, harmful, or fraudulent activity;
• Circumvent or attempt to circumvent subscription limits, credits, or access controls;
• Use bots, scrapers, or automated tools to access the Service without authorization;
• Upload content that is illegal, infringing, defamatory, hateful, or otherwise objectionable;
• Access or attempt to access another user's account;
• Interfere with or disrupt the security, integrity, or availability of the Service;
• Resell or sublicense access to the Service without our permission;
• Use the Service to train or develop competing AI models or services.

We may suspend or terminate your access to the Service if you violate these Terms.

Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free;
• AI Content will be accurate, complete, or suitable for your purposes;
• The Service will be free of viruses or other harmful components.

You use the Service at your own risk.

Limitation of Liability

To the maximum extent permitted by applicable law:

• We are not liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, data, goodwill, or business opportunities, arising out of or in connection with your use of the Service.
• Our total aggregate liability for all claims arising out of or relating to the Service is limited to the greater of (a) the amounts you paid to us in the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars ($100.00).
• We are not liable for damages arising from unauthorized access to your account, inaccuracies in AI Content, or the conduct of third-party retailers or other users.

Nothing in these Terms limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by our negligence, fraud, or willful misconduct.

Indemnification

You agree to defend, indemnify, and hold harmless Astage AI and its officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Service;
• Your User Content;
• Your violation of these Terms;
• Your violation of any applicable law or the rights of any third party.

Account Termination

• By You. You may delete your account at any time through your account settings or by contacting us at support@astage.ai. Upon deletion, your data will be handled in accordance with our Privacy Policy.
• By Us. We may suspend or terminate your account and access to the Service, with or without notice, if you breach these Terms or if we reasonably believe your use of the Service is unlawful or harmful.

Force Majeure

We are not liable for any failure or delay in performing our obligations under these Terms caused by circumstances beyond our reasonable control, including natural disasters, war, terrorism, pandemics, power or network failures, or outages of third-party services.

Governing Law and Disputes

These Terms are governed by the laws of the jurisdiction in which Astage AI is established, without regard to its conflict-of-law principles. You agree to submit to the exclusive jurisdiction of the courts in that jurisdiction for any disputes arising out of or relating to these Terms or the Service.

If you are a consumer in the European Union, the United Kingdom, or another jurisdiction with mandatory consumer protections, you retain the benefit of any mandatory provisions of the law of your country of residence, and nothing in these Terms limits your statutory rights.

General Provisions

• Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Astage AI regarding the Service.
• Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
• Waiver. Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
• Assignment. We may assign or transfer our rights and obligations under these Terms. You may not assign your rights or obligations without our prior written consent.
